Dealer Agreement

This Dealer Agreement ("Agreement") is entered into between Affordable Advertising Solutions LLC ("the Company," "we," "us"), a Virginia limited liability company located in Glen Allen, Henrico County, Virginia, operating AutoDailyDeals.com (the "Platform"), and the dealership registering for an account ("Dealer," "you"). By creating a dealer account, you agree to this Agreement in addition to the general Terms of Use.

1. Eligibility and Verification

Dealer must provide accurate business information to register, including a valid Employer Identification Number (EIN). Franchise dealerships must additionally provide a valid OEM dealer number issued by the applicable vehicle manufacturer; this requirement does not apply to used-only/independent dealerships, which do not hold manufacturer franchise agreements. Upon submission of correctly formatted information and successful payment of the applicable subscription fee, Dealer's account is activated automatically. The Company does not manually review or independently verify EIN, OEM dealer number, or any other submitted information prior to activation, and activation does not constitute the Company's confirmation that Dealer's information is accurate or that Dealer is a duly licensed dealership.

1a. Attestation of Accuracy

By registering, Dealer affirmatively attests that all information provided — including EIN, OEM dealer number (if applicable), business name, and contact information — is true, accurate, and current. Dealer acknowledges that this attestation is a condition of using the Platform, and that submitting false, fraudulent, or materially inaccurate information is grounds for immediate account suspension or termination under Section 9, without notice or refund of subscription fees paid.

2. Subscription and Pricing

Dealer agrees to pay the applicable annual subscription fee based on dealership type:

Subscription fees are billed annually and are non-refundable except as required by law or expressly stated in this Agreement. The Company may change subscription pricing for future terms with notice; changes do not apply retroactively to a term already paid — a price change takes effect only upon a dealership's next renewal.

3. Territorial Exclusivity (Optional)

Dealer may purchase optional territorial exclusivity for a specific vehicle brand, available at two levels:

Exclusivity is granted per brand, per territory, on a first-come, first-served basis, and applies only while the corresponding subscription and exclusivity fees remain current. If Dealer's subscription or exclusivity payment lapses, exclusivity is forfeited immediately and the territory becomes available for reassignment to another dealership without notice or grace period.

4. Daily Deal Publishing

Dealer may publish unlimited standard deal listings. Each Dealer may designate one "Daily Deal" per 24-hour period, which receives priority placement at the top of the Platform's deal feed. Daily Deal designations reset every 24 hours and do not carry over.

5. Deal Accuracy and Truth-in-Advertising

Dealer is solely responsible for the accuracy of all listings, including pricing, availability, and vehicle condition. Dealer agrees to comply with all applicable federal and Virginia truth-in-advertising laws and to honor published offers as advertised to consumers who present them in good faith. The Company does not guarantee inventory availability or pricing accuracy and is not a party to any transaction between Dealer and a consumer.

6. Content and Media Rights

By submitting images, descriptions, or other content to the Platform, Dealer represents that it owns or has the right to use that content and grants the Company a non-exclusive, royalty-free license to display, reproduce, and distribute it for the purpose of operating the Platform. Dealer remains responsible for ensuring submitted content does not infringe any third party's rights.

7. Compliance Obligations

Dealer agrees to comply with all applicable federal, state, and local laws governing the sale and advertisement of motor vehicles, including licensing requirements. The Company reserves the right to request updated verification at any time.

8. Indemnification

Dealer agrees to indemnify and hold harmless the Company, its owners, and affiliates from any claims, damages, or liabilities arising from Dealer's listings, advertised offers, or conduct in transactions with consumers, except to the extent caused by the Company's own negligence.

9. Termination

The Company may suspend or terminate a Dealer's account, or remove specific listings, for any of the following reasons: false or misleading advertising, non-payment of subscription fees, repeated consumer complaints, expired or stale listings left unaddressed, submission of false or materially inaccurate registration information, or any other violation of this Agreement or the Terms of Use. Where practical, the Company will provide notice and an opportunity to correct the issue before termination; however, the Company reserves the right to suspend an account immediately, without prior notice, in cases involving suspected fraud, false advertising, or risk of harm to consumers or the Platform. Dealer may terminate this Agreement at any time by discontinuing use of the Platform; subscription fees already paid are non-refundable except as required by law.

10. Binding Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration shall be conducted in Henrico County, Virginia, in accordance with the rules of a mutually agreed arbitration provider. Each party is responsible for its own arbitration costs unless the arbitrator determines otherwise.

11. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Venue for any matter not subject to arbitration shall lie in Henrico County, Virginia.

12. Changes to This Agreement

The Company may update this Agreement from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Agreement.
